Effective immediately upon account creation or continued use of the platform.

1. Welcome to MiOrbit

Welcome to MiOrbit (myorbit.space), a professional network and community platform built for space industry professionals, students, researchers, and enthusiasts. MiOrbit is operated by Helios Nexus Inc ("we," "us," or "our").

MiOrbit enables members to create professional profiles, post content (Mission Logs), send direct messages, RSVP to events, connect with other space professionals, and access premium features through an optional paid subscription (Orbit Pro).

By creating an account, accessing, or using MiOrbit in any way, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the platform.

2. Who Can Use MiOrbit

To create and maintain a MiOrbit account, you must:

  • Be at least 18 years old. MiOrbit is a professional platform intended for adults only. We do not knowingly permit users under 18 to create accounts.
  • Provide accurate, truthful, and complete information during registration.
  • Not have been previously suspended or terminated from MiOrbit.
  • Comply with all applicable local, state, national, and international laws and regulations.

MiOrbit is intended primarily for users in the space industry and adjacent professional communities. We reserve the right to decline, suspend, or terminate accounts that violate these Terms or disrupt the safety and integrity of the platform.

3. Your Account

You are solely responsible for your account. This includes:

  • Maintaining the confidentiality and security of your login credentials and password.
  • Not sharing your account access with any other person.
  • All activity that occurs under your account, whether or not you authorized it.
  • Notifying us immediately at hello@myorbit.space if you suspect unauthorized access or a security breach.

We will attempt to assist with account security issues in good faith, but we are not liable for losses, damages, or harm arising from your failure to keep your credentials secure.

You may choose a callsign (a handle or display name) as part of your profile. Callsigns must not impersonate real individuals, organizations, or trademarks, and must not be offensive or misleading.

4. Data We Collect

We collect only what is necessary to operate and improve MiOrbit. This includes:

  • Account information: email address, encrypted password, display name, and callsign.
  • Profile content: bio, avatar, cover image, professional details, skills, and mission goals.
  • User-generated content: posts (Mission Logs), comments, messages, event RSVPs, and bookmarks.
  • Subscription and billing information: processed securely through Stripe. We do not store full payment card details on our servers.
  • Usage data: interactions, login activity, and platform usage patterns used to improve the service.
  • Device and technical data: IP address, browser type, and device information for security and performance purposes.

All data is stored securely using Supabase. You may request the deletion of your personal data at any time by contacting us at hello@myorbit.space.

5. How We Use Your Data

We use your information to:

  • Create, manage, and authenticate your account.
  • Display your profile, posts, and activity within the platform.
  • Enable messaging, event participation, and community features.
  • Process payments for Orbit Pro subscriptions and any other paid features.
  • Send transactional emails (account verification, password reset, billing confirmations).
  • Send platform notifications and, where opted in, the Mission Briefing newsletter.
  • Improve platform functionality, performance, and user experience.
  • Detect, investigate, and prevent fraudulent, abusive, or illegal activity.

We do not sell, rent, or trade your personal information to third parties for their marketing purposes.

6. User Content & Intellectual Property

You retain ownership of all content you create and upload to MiOrbit, including posts, images, messages, and profile information ("User Content").

By posting User Content on MiOrbit, you grant Helios Nexus Inc a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, reproduce, and distribute your content solely as necessary for MiOrbit to operate and provide its services. This license ends when you delete your content or close your account, subject to any retained backup copies.

You represent and warrant that:

  • You own or have the necessary rights and permissions to post your User Content.
  • Your User Content does not infringe the intellectual property, privacy, or other rights of any third party.
  • Your User Content complies with these Terms and all applicable laws.

MiOrbit respects intellectual property rights. If you believe content on the platform infringes your copyright, please contact us at hello@myorbit.space with sufficient detail to identify the content and your ownership claim.

7. Prohibited Conduct

To protect the MiOrbit community, the following are strictly prohibited:

  • Posting, sharing, or distributing illegal content or engaging in unlawful activity.
  • Harassment, threats, bullying, stalking, or targeted abuse of any member.
  • Hate speech, discrimination, or content that demeans individuals based on race, ethnicity, gender, religion, sexual orientation, disability, or other protected characteristics.
  • Violent, graphic, or gratuitously disturbing content.
  • Adult, explicit, or sexually suggestive content of any kind.
  • Impersonating any person, organization, or brand, including other MiOrbit members.
  • Spreading deliberate misinformation, scams, phishing attempts, or fraudulent content.
  • Uploading or distributing malware, viruses, or any code designed to harm the platform or its users.
  • Attempting to reverse-engineer, scrape, exploit, or gain unauthorized access to MiOrbit's systems, data, or other users' accounts.
  • Using MiOrbit for unsolicited commercial messages, spam, or pyramid schemes.
  • Manipulating platform features to gain an unfair advantage (e.g., artificially inflating engagement).

Violations may result in immediate content removal, account suspension, or permanent termination, at our sole discretion. We may also report illegal activity to relevant authorities.

8. Orbit Pro Subscription

MiOrbit offers an optional paid subscription tier called Orbit Pro.

Pricing

  • Orbit Pro is currently priced at $12.00 per month or $99.00 per year.
  • Pricing is subject to change. We will provide at least 30 days' notice of any price changes to existing subscribers via email.
  • All prices are in USD.

Billing

  • Subscriptions are billed on a recurring basis (monthly or annually) through Stripe.
  • By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
  • Failed payments may result in temporary loss of Pro access. We will attempt to notify you of any billing issues.

Cancellation

  • You may cancel your Orbit Pro subscription at any time through your account settings or by contacting hello@myorbit.space.
  • Cancellation takes effect at the end of your current billing period. You retain Pro access until that date.
  • We do not provide prorated refunds for partial billing periods.

Refunds

  • Refunds are not generally provided. If you believe you were charged in error, contact us within 7 days of the charge at hello@myorbit.space and we will review your case.
  • We reserve the right to issue refunds at our discretion in exceptional circumstances.

Feature Changes

We may add, modify, or remove Orbit Pro features at any time. We will make reasonable efforts to communicate material changes to subscribers in advance.

9. Giveaways, Sweepstakes & Promotions

From time to time, MiOrbit may run giveaways, sweepstakes, or promotional campaigns ("Promotions"). All Promotions are subject to:

  • Separate official rules published at myorbit.space/giveaway/rules or as otherwise stated, which are incorporated into these Terms by reference.
  • No purchase necessary to enter any Promotion unless otherwise specified. A free method of entry will always be available.
  • Eligibility requirements as stated in the applicable official rules. Unless otherwise noted, Promotions are open to US residents aged 18 or older.
  • Winner selection as described in the official rules. All decisions regarding winner selection are final.
  • Void where prohibited by law.

Prizes are non-transferable and have no cash value unless otherwise stated. MiOrbit is not responsible for prizes donated by third parties.

10. Third-Party Relationships & Inspired24

MiOrbit may integrate with, reference, or link to third-party platforms, services, or organizations, including Inspired24 (a separate nonprofit organization). These relationships are governed by the following:

  • Inspired24 is an independent nonprofit organization. It is not owned by, controlled by, or affiliated with Helios Nexus Inc in any formal legal capacity.
  • Any donations MiOrbit makes to Inspired24 or other organizations are voluntary charitable contributions made at our discretion and do not constitute a joint venture, partnership, or agency relationship.
  • MiOrbit is not responsible for the content, policies, or practices of third-party organizations or platforms linked to or referenced on MiOrbit.
  • Events created or promoted on MiOrbit by third parties (including Inspired24 events) are the responsibility of the organizing party. MiOrbit facilitates event discovery but is not the event organizer unless explicitly stated.

11. NASA Force Community Disclaimer

MiOrbit hosts a community space for NASA Force candidates, fellows, and alumni. This community is independently organized and is not affiliated with, endorsed by, or operated in partnership with NASA, the Office of Personnel Management (OPM), the NobleReach Foundation, or any US government agency.

Information shared in the NASA Force community room by members reflects individual opinions and experiences and should not be taken as official guidance. For authoritative information on NASA Force, refer to official government sources at techforce.gov.

12. Service Availability & Disclaimers

We work to keep MiOrbit available and reliable, but we cannot guarantee:

  • Uninterrupted or error-free operation of the platform.
  • Accuracy or completeness of information on the platform.
  • That the platform will be free from security vulnerabilities or data breaches beyond our reasonable control.
  • Retention of user data in the event of hardware failure, cyberattack, or other unforeseen events.

MiOrbit is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Helios Nexus Inc is not liable for:

  • Lost, corrupted, or inaccessible data.
  • Service outages or downtime.
  • Disputes between users or between users and third parties.
  • Security incidents or unauthorized access beyond our reasonable control.
  • Any indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, MiOrbit.

To the maximum extent permitted by applicable law, our total liability to you for any claim arising out of these Terms or your use of MiOrbit shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. DMCA & Copyright Policy

MiOrbit respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content on MiOrbit infringes your copyright, please send a notice to hello@myorbit.space that includes:

  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the infringing material and its location on MiOrbit.
  • Your contact information (name, address, email, phone).
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner, agent, or law.
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
  • Your physical or electronic signature.

We will respond to valid DMCA notices promptly. Repeat infringers may have their accounts terminated.

14. Termination

We may suspend or permanently terminate your account, without notice or liability, if:

  • You violate any provision of these Terms.
  • Your conduct threatens the safety, integrity, or reputation of the MiOrbit community.
  • Required by law or court order.
  • Your account has been inactive for an extended period and you have no active subscription.

You may delete your account at any time through your account settings. Upon deletion, your public-facing content will be removed within a reasonable timeframe, subject to our data retention obligations.

Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, indemnification, and limitation of liability) will survive.

15. Indemnification

You agree to indemnify, defend, and hold harmless Helios Nexus Inc, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of MiOrbit.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any third-party rights.

16. Updates to These Terms

We may update these Terms periodically to reflect changes in our platform, legal requirements, or business practices. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this document.
  • Notify active users via email at least 14 days before material changes take effect.
  • Post a notice on the platform.

Your continued use of MiOrbit after the effective date of updated Terms constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using MiOrbit and may delete your account.

17. Dispute Resolution, Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution First

Before initiating any formal dispute process, you agree to contact us at hello@myorbit.space and describe your dispute in reasonable detail. We will attempt to resolve the matter informally within 30 days. This step is a condition precedent to arbitration.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, the MiOrbit platform, or your relationship with Helios Nexus Inc shall be resolved exclusively through binding individual arbitration, not in court. Arbitration shall be conducted by a single neutral arbitrator in the State of Delaware. The arbitrator's decision shall be final and binding.

The arbitrator has authority to award any relief that a court could award, including injunctive relief, on an individual basis only. The arbitrator does not have authority to conduct class, collective, or representative proceedings.

Class Action Waiver

YOU AND MIORBIT EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, CONSOLIDATED ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. All disputes must be brought in your individual capacity only.

If a court finds this class action waiver unenforceable for a particular claim, that claim shall be severed from arbitration and proceed in court, while all remaining claims stay in arbitration.

Exceptions

Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims that by law cannot be subject to mandatory arbitration are excluded from this section.

Opt-Out Right

You may opt out of this arbitration agreement within 30 days of first creating your MiOrbit account by emailing hello@myorbit.space with the subject line Arbitration Opt-Out and your account email address. Opting out does not affect any other provision of these Terms.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Subject to the arbitration agreement in Section 17, any claims not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction and venue of those courts.
